Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Apex Scouter website and services (the "Service") operated by Denis Salin ("Apex Scouter", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. What Apex Scouter is

Apex Scouter is an analytics product that publishes statistical, pre-fight analytical breakdowns of UFC bouts. Each analysis compares fighters across a range of statistical dimensions and presents a confidence assessment.

Apex Scouter is an informational and analytical service only. It is not a betting, gambling, or wagering service. We do not provide betting tips, bookmaker odds, guaranteed outcomes, or financial advice. See our Disclaimer for full details.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to create an account or subscribe. By using the Service, you represent that you meet this requirement and that you are legally permitted to use the Service where you live.

3. Accounts

• You may need to register an account to access certain features. You agree to provide accurate information and to keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• Notify us promptly at salin.web.designer@gmail.com if you suspect unauthorized use of your account.
• We may suspend or terminate accounts that violate these Terms.

4. Subscription tiers, billing, and payments

4.1 Tiers

The Service offers the following access tiers:

• Anonymous — limited content, no account required.
• Free — registered account, no charge, limited content.
• Pro — paid subscription with full access to all analyses and features.

We may change the features included in each tier over time.

4.2 Pricing and billing

• Pro is offered at $9 per month or $72 per year, as displayed at checkout. Prices may exclude applicable taxes.
• Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms.
• Subscriptions renew automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date.
• We may change prices. We will give reasonable advance notice of price changes affecting your renewals.

4.3 Cancellation and refunds

• You may cancel your Pro subscription at any time. Cancellation takes effect at the end of the current billing period, and you retain access until then.
• Except where required by applicable law (including mandatory consumer-protection or withdrawal rights), payments are generally non-refundable, and we do not provide partial refunds for unused periods.

5. License and acceptable use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial use, subject to these Terms.

You agree not to:

• copy, scrape, harvest, redistribute, resell, sublicense, or commercially exploit any analyses, data, or content from the Service;
• share, resell, or provide access to your account or to paid content with anyone else;
• use automated means (bots, scrapers, crawlers) to access the Service except as expressly permitted;
• attempt to bypass tier restrictions, paywalls, authentication, or other access controls;
• reverse engineer, interfere with, disrupt, or place undue load on the Service;
• use the Service for any unlawful purpose or in violation of these Terms.

6. Intellectual property

• All analyses, text, layouts, designs, compilations, and other content on the Service (excluding third-party trademarks and source data) are owned by or licensed to Apex Scouter and are protected by intellectual-property laws.
• The Service's analytical methodology, presentation, and curated output are our proprietary work product.
• You may not use our name, logo, or branding without our prior written permission.

7. Third-party data and trademarks

• The Service references publicly available fighter and event data drawn from third-party sources. We do not control and are not responsible for the accuracy of third-party source data.
• "UFC" and related marks are trademarks of Zuffa, LLC. Apex Scouter is not affiliated with, endorsed by, or sponsored by the UFC or Zuffa, LLC. References to the UFC and to fighters and events are nominative — used only to identify the subject matter of our analysis.

8. No professional advice; no guarantees

The Service provides statistical analysis for informational and entertainment purposes only. It does not constitute betting advice, financial advice, or any professional advice. Outcomes of sporting events are inherently uncertain, and our analyses, confidence scores, and "traffic light" signals are predictions, not guarantees. You are solely responsible for any decisions you make. See the Disclaimer.

9. Availability and changes to the Service

• We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
• We do not guarantee that the Service will be uninterrupted, error-free, or always available.
• Content, including analyses and the data underlying them, may be updated, corrected, or removed at any time.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that any analysis is accurate, complete, current, or will correspond to any actual fight outcome.

11. Limitation of liability

To the maximum extent permitted by law, Apex Scouter and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or any losses arising from betting, gambling, or wagering based on or related to the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) USD 50.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including certain mandatory consumer rights).

12. Indemnification

You agree to indemnify and hold harmless Apex Scouter and its operator from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service or your violation of these Terms or of any law.

13. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms or use the Service in a way that may harm us, other users, or third parties. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing law and disputes

These Terms are governed by the laws of Thailand, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the courts of Thailand, except where mandatory consumer-protection law grants you the right to bring proceedings in your country of residence.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
